1. Agreement to These Terms
By creating an account or using Sunstate Trades, you agree to these Terms of Service. If you do not agree, do not use the platform. Sunstate Trades is operated by Sunstate Bay Ventures LLC, a Florida limited liability company.
2. What Sunstate Trades Is (and Is Not)
Sunstate Trades is an online directory connecting general contractors (GCs) with subcontractors (subs) during bid preparation. We are NOT:
- a licensed contractor referral service under Florida Statute §489.1455;
- a party to any contract between a GC and a sub;
- a guarantor of any sub's license status, insurance, or workmanship; or
- an employer of any user.
Any contract for work is solely between the GC and the sub.
3. Eligibility
You must be at least 18 years old and legally authorized to do business in the United States to use Sunstate Trades.
4. Your Account
You are responsible for keeping your login credentials confidential, all activity under your account, and ensuring your profile information is accurate. Notify us at privacy@sunstatetrades.com if you suspect unauthorized access.
5. Acceptable Use
You agree not to:
- post false or fraudulent information including fake license numbers or insurance certificates;
- impersonate any person or company;
- scrape or redistribute platform content without written permission;
- attempt unauthorized access to any part of the platform; or
- use the platform for any unlawful purpose.
We reserve the right to suspend or terminate any account that violates these rules.
6. RFQs and Bids
GCs are responsible for the accuracy of RFQs they post. Subs are responsible for the accuracy of bids they submit and for confirming they hold all required licenses and insurance before bidding. We use AI (Anthropic Claude API) to help parse RFQ text and extract document information — this is assistive only. You are responsible for reviewing AI-extracted information for accuracy.
7. Licenses and Insurance
We may extract license and insurance information from uploaded documents. We do not verify this information with the Florida DBPR or any other authority. Always verify license status directly at myfloridalicense.com before entering any contract.
8. Content You Submit
By posting content on the platform, you grant Sunstate Bay Ventures LLC a non-exclusive, royalty-free license to display and use that content to operate and improve the platform.
9. Our Intellectual Property
The Sunstate Trades name, logo, and platform design are owned by Sunstate Bay Ventures LLC. You may not use them without written permission.
10. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE MAKE NO WARRANTY REGARDING THE ACCURACY OF AI-PARSED DATA OR EXTRACTED DOCUMENT INFORMATION.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY FLORIDA LAW, SUNSTATE BAY VENTURES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
12. Indemnification
You agree to indemnify and hold harmless Sunstate Bay Ventures LLC from any claims, damages, or expenses arising from your use of the platform or violation of these Terms.
13. Termination
We may suspend or terminate your account at any time. You may delete your account by contacting privacy@sunstatetrades.com.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida. Any dispute shall be resolved in the state or federal courts in Pinellas County, Florida.
15. Changes to These Terms
We may update these Terms from time to time. Continued use of the platform after changes take effect constitutes acceptance.
